This Service Agreement (“Agreement”) is made between Exquisite Commerce (“we,” “our,” “us”) and the client (“you,” “your”) who uses our services. By using our services, you agree to be bound by the terms outlined in this Agreement.
Exquisite Commerce provides services including but not limited to [insert specific services, e.g., e-commerce consulting, website development, digital marketing, etc.]. The scope of the services will be detailed in a separate project proposal or statement of work agreed upon by both parties.
You agree to:
Service fees will be agreed upon in writing prior to the commencement of services. Payments must be made according to the agreed schedule. Late payments may result in suspension or termination of services.
This Agreement begins on the date you accept the services and continues until the completion of the services, unless terminated earlier by either party. Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to remedy it within a reasonable period.
Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of this Agreement. Confidential information shall not be disclosed to any third party without prior written consent.
Unless otherwise agreed in writing, any intellectual property created by Exquisite Commerce during the provision of services shall remain the property of Exquisite Commerce until full payment is received. Upon full payment, ownership rights may be transferred as per the agreement.
To the fullest extent permitted by law, Exquisite Commerce shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of services, delays, or errors in deliverables.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, USA. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in New York.
Any modifications or amendments to this Agreement must be made in writing and signed by both parties.
